1. Acceptance of Terms

By registering an account, downloading the plugin, or using any part of the Member Analytics Pro service ("Service"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service. These terms form a legally binding agreement between you ("Customer") and Member Analytics Pro ("we", "us", "our").

2. Description of Service

Member Analytics Pro provides a WordPress plugin and accompanying license management platform that enables membership site owners to track and analyse the activity of logged-in WordPress members. The Service includes the plugin software, this website, the license validation API, and customer support.

3. Free Trial

We offer a 14-day free trial. No payment information is required to start a trial. At the end of the trial period, access to premium features will be restricted until a license is purchased. We reserve the right to modify or discontinue the free trial offer at any time without notice.

4. License & Permitted Use

Upon purchase, we grant you a non-exclusive, non-transferable license to install and use the Member Analytics Pro plugin on one (1) WordPress installation for the duration of your subscription term (12 months).

You may not:

• Use a single license on more than one WordPress site simultaneously.
• Redistribute, resell, sublicense, or share the plugin or your license key with third parties.
• Reverse engineer, decompile, or modify the plugin beyond what is permitted by applicable law.
• Use the Service for any unlawful purpose or in violation of any applicable regulations, including privacy laws.
• Attempt to gain unauthorized access to our systems, API, or other customers' data.

5. Pricing & Payment

The current license fee is $49.00 USD per site, per year. Prices are subject to change with reasonable notice to existing customers. All payments are processed securely by our payment processor. We do not store your full payment card details. Licenses are not automatically renewed — you will receive renewal reminders before your license expires.

6. Refund Policy

We offer a 14-day money-back guarantee on new license purchases. If you are not satisfied with the plugin within 14 days of purchase, contact us for a full refund. Renewal purchases are non-refundable after the renewal period has begun. Refunds are issued to the original payment method and may take up to 10 business days to appear.

7. License Renewal & Expiry

Licenses expire 12 months after the purchase date. Upon expiry, the plugin will continue to function but will no longer receive software updates or connect to the license validation API. You may renew your license at any time from your account dashboard to restore full functionality. Expired licenses that remain unrenewed for more than 30 days may be de-allocated.

8. Your Responsibilities

You are responsible for:

• Maintaining the security of your account credentials.
• Ensuring that your use of the plugin complies with applicable privacy laws (including GDPR, CCPA, and similar regulations) with respect to your own members' data.
• Informing your own website members about data collection practices in your privacy policy, as required by law.
• Keeping your WordPress installation and the plugin updated.

9. Intellectual Property

All intellectual property rights in the Service, including the plugin software, website, and documentation, are owned by Member Analytics Pro. Your purchase grants a license to use the software only — it does not transfer any ownership rights to you.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Member Analytics Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account and license if you breach these Terms, engage in fraudulent activity (such as initiating a chargeback), or misuse the Service. You may close your account at any time from your account settings page. Termination does not entitle you to a refund unless you qualify under our refund policy above.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered customers of material changes by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation in the first instance, followed by binding arbitration if necessary.
